On February 19, 2026, the National Securities Commission (“CNV”) issued General Resolution No. 1110/2026, which facilitates the change of Public Offering Regime for issuers of negotiable securities. A specific and systematic framework is implemented to facilitate this transition between the General Regime, the CNV SME Regime, and other special public offering regimes. The resolution is justified by the fact that certain issuers face regulatory requirements that are disproportionate to their operational scale. In this context, the CNV establishes a framework that allows the regulatory framework to be adapted to the economic reality of each company.
